These terms cover your use of Second Studio, operated by Faro.io Corp.

1. Agreement
These Terms of Service (the "Terms") govern your use of Second Studio, including the website at second.studio.hellofaro.io, the account portal, the REST API, the hosted and local MCP servers, and related services (together, the "Service"). The Service is operated by Faro.io Corp ("Faro.io", "we", "us"). By creating an account, using an API key, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf and confirm you have authority to do so.
2. The Service
Second Studio is a hosted video production service for AI agents and the people who run them. It can analyze reference videos, edit and render videos from your footage, generate images, voice and video, record web applications, and prepare social posts for your approval. Features may change as we improve the Service, and some features are available only to approved accounts.
3. Accounts and sign-in
You sign in through our authentication provider, Clerk, using Google, GitHub, Apple or an email address. You must give accurate information, keep your sign-in methods secure, and be at least 18 years old or the age of majority where you live. You are responsible for activity under your account, including by people you invite to your organization.
Each account receives agent API keys. Treat keys like passwords. Anyone holding a key can use your credits. If a key is lost or exposed, revoke it in the portal or email support@hellofaro.io and we will help.
4. Credits, plans and billing
Work on the Service is paid with credits. The cost of each operation is listed on the pricing page and in the documentation, and generated video is quoted before it runs. You can buy one-time credit packs or subscribe to a plan. Current plans are Studio at $100 per month for 1,150 credits and Studio Max at $200 per month for 2,375 credits. Annual billing is 5% off twelve times the monthly price: Studio $1,140 for 13,728 credits, Studio Max $2,280 for 27,468 credits. An existing annual subscription keeps its current price until you change plans. Prices are in US dollars and exclude any applicable taxes.
Payments are processed by Stripe. Subscriptions renew automatically each billing period until cancelled. You can cancel or change your plan at any time from the portal through Manage plan and invoices, and cancellation takes effect at the end of the current billing period. Purchased credits do not expire while your account is open. Jobs that fail are refunded in credits automatically. Except where required by law or stated in these Terms, payments are non-refundable. If a charge looks wrong, contact support@hellofaro.io within 60 days.
We may change prices or plans with at least 30 days notice for subscriptions. Free or promotional credits may carry their own limits and may be withdrawn if abused.
5. Your content and generated videos
"Your Content" means the files, footage, images, audio, brand kits, scripts, prompts, styles and other materials you or your agents submit, plus the videos, images, audio and other outputs the Service produces for you ("Outputs"). As between you and us, you own Your Content and the Outputs, subject to any rights of third parties in materials you supply.
You grant us a limited license to host, copy, process, transmit and display Your Content only as needed to provide, secure and support the Service for you. We do not use Your Content to train general-purpose AI models. You can delete Your Content in the portal or through the API.
You are responsible for having the rights and permissions needed for Your Content, including the consent of any person who appears or whose voice or likeness is used. Outputs from AI models may be similar to outputs produced for others and may not be protectable in every country. Review Outputs before you publish them.
6. Acceptable use
You agree not to use the Service to:
create or distribute content that is illegal, infringes someone else's rights, or violates privacy or publicity rights;
create sexual content involving minors, non-consensual intimate imagery, or deceptive impersonations of real people;
harass, threaten, defraud or mislead people, including through election or health misinformation;
record or access websites or accounts you are not authorized to use;
break, probe or overload the Service, get around rate limits or spend caps, or resell access without our written permission;
violate the terms of any connected platform, such as a social network you post to.
We may review, block or remove content and suspend keys or accounts that we reasonably believe violate these Terms.
7. Connected accounts and posting
If you connect social accounts, the Service can draft and, after approval, publish posts to those accounts on your behalf. Drafted posts require approval unless you opt into auto-publish. You are responsible for what is posted from your connected accounts and for following each platform's rules.
8. Third-party services
The Service relies on third-party providers, including Clerk for sign-in, Stripe for payments, Convex for our backend and storage, Modal for processing, Vercel for hosting, and AI model providers you choose for generation. If you bring your own provider keys, your use of those providers is also governed by their terms. We are not responsible for third-party services we do not control.
9. Suspension and termination
You can stop using the Service and close your account at any time by emailing support@hellofaro.io. We may suspend or end access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others, and we will give notice where reasonable. On closure, unused paid credits may be refunded at our discretion or where required by law, and we will delete Your Content as described in the Privacy Policy.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. AI-generated Outputs can be inaccurate or unexpected, and we do not guarantee the Service will be uninterrupted or error free.
11. Limitation of liability
To the fullest extent allowed by law, Faro.io will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim, or $100, whichever is greater.
12. Indemnity
You will defend and indemnify Faro.io against third-party claims arising from Your Content, your use of the Service, or your breach of these Terms.
13. Changes to these Terms
We may update these Terms. If a change is material, we will give notice by email or in the portal before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Delaware, and both parties consent to that jurisdiction.
